These Terms of Service (“Terms”) govern your access to and use of SoWhatHQ’s website and application (the “Service”). By creating an account or using the Service, you agree to these Terms. If you’re using SoWhatHQ on behalf of a company, you agree on its behalf and confirm you’re authorized to do so.
01The Service
SoWhatHQ monitors public competitor pages you choose, detects changes, and produces sourced AI analysis, recommended actions, battlecards, and a living messaging workspace. Because part of the value comes from AI and from third-party public sources, the Service is provided as an aid to your judgment — not as legal, financial, or strategic advice. Always verify anything important before acting on it.
02Your account
- You must provide accurate information and keep your login credentials secure.
- You’re responsible for activity under your account and for the people you invite into your workspace.
- You must be at least 16 and able to form a binding contract.
03Plans, trials, and payment
Our plans are billed by how many competitors you watch, never per seat. Current plans and prices are on our pricing page, which forms part of these Terms.
- Free trial. Paid plans begin with a 14-day free trial, no credit card required. Unless you subscribe, access ends when the trial ends.
- Subscriptions. Paid plans renew automatically each billing period (monthly or annually) until cancelled. By subscribing you authorize us and our payment processor to charge your payment method on a recurring basis.
- Usage-based add-ons. Some plans include a flat per-competitor charge beyond the included amount, as described on the pricing page.
- Cancellation. You can cancel anytime, self-serve. Access continues through the end of the current billing period; we don’t provide prorated refunds for partial periods unless required by law.
- Price changes. We may change prices; we’ll give reasonable notice, and changes apply to your next billing period.
Payments are processed by a third-party payment processor. Taxes may apply depending on your location.
04Acceptable use
You agree not to:
- Use the Service to break the law or infringe others’ rights.
- Attempt to access accounts, data, or systems you’re not authorized to reach, or probe or disrupt the Service’s security.
- Reverse engineer, resell, or copy the Service except as allowed by law.
- Use the Service to monitor pages you’re not permitted to access, or in a way that violates a third party’s terms of service or applicable law.
- Overload the Service with automated requests beyond normal product use.
You’re responsible for how you use the intelligence SoWhatHQ surfaces, including compliance with competition and other laws that apply to you.
05Your content
You retain ownership of the content you put into SoWhatHQ — your positioning, messaging, watchlist, and settings. You grant us a limited license to host and process that content solely to operate and improve the Service for you. We don’t use your content to train models for other customers or sell it. You’re responsible for having the rights to any content you upload.
06Our intellectual property
The Service, including its software, design, brand, and the SoWhatHQ name and logo, belongs to us and is protected by law. These Terms don’t grant you any rights in it beyond the right to use the Service as permitted here.
07Third-party sources and links
The Service monitors and links to third-party websites and content we don’t control. We’re not responsible for the accuracy, availability, or terms of those sources, and monitoring them is your decision.
08Availability and changes
We work to keep the Service reliable but don’t guarantee it will be uninterrupted or error-free. We may modify, suspend, or discontinue features, and we’ll aim to give reasonable notice of material changes.
09Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. AI-generated analysis may contain errors or omissions; you’re responsible for reviewing it before relying on it.
10Limitation of liability
To the fullest extent permitted by law, SoWhatHQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
11Indemnification
You agree to indemnify and hold SoWhatHQ harmless from claims, losses, and expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
12Termination
You can stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to others or to us. On termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, and liability limits) will survive.
13Governing law & disputes
These Terms and any dispute arising out of them or the Service are governed by the laws of the United States of America, without regard to conflict-of-laws rules, and you agree to the jurisdiction of the courts located in the United States for any such dispute. Where the mandatory consumer-protection laws of your home country or state give you additional rights, nothing in these Terms removes them.
We’d rather solve problems directly. Before starting any formal proceeding, please contact us at legal@sowhathq.com and we’ll make a good-faith effort to resolve the matter informally.
14Changes to these Terms
We may update these Terms as the product and the law evolve. If a change is material, we’ll update the effective date and notify you in the app or by email. Continuing to use the Service after a change means you accept the updated Terms.
